END USER AGREEMENT (TERMS OF SERVICE)

1. Acceptance of These Terms

This End User Agreement (“Agreement” or “Terms”) is a binding contract between you (“User,” “you,” or “your”) and Lunovo LLC d/b/a Lovebird (“Lovebird,” “Company,” “we,” “us,” or “our”).

By clicking “I Agree,” creating an account, or otherwise accessing or using our website, virtual machine environment, or related services (collectively, the “Services”), you expressly acknowledge that you have read, understood, and agree to be bound by this Agreement and all incorporated policies, including our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

2. Ownership & Operator

  5. Jurisdictional Notice The Services are controlled and operated from the United States. We make no representation that the Services are appropriate or available for use outside the U.S.

3. Eligibility

  • You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Services.

  • By using the Services, you represent and warrant that:

    • You meet this eligibility requirement.
    • You have the legal authority to enter into this Agreement.
    • Your use of the Services does not violate any law or regulation, including those related to privacy, identity, or communication.
  • The Services are currently available only to users within the United States.
  • The Services are not available to any User previously suspended or removed by the Company.

4. Our Services

  1. Service Description Lovebird provides a platform and virtual machine environment to assist you in managing your dating profiles on third-party platforms (“Third-Party Platforms”) and to facilitate introductions or communications on your behalf.

  2. Subscription Model Services may include:

    • Monthly subscription fees
    • Free or reduced-cost trial periods
    • Optional premium or add-on services (e.g., photography, coaching)

  3. No Guarantee of Outcome We make no representations or warranties that our Services will result in any specific dating outcomes, including matches, relationships, or engagement success.

  4. Third-Party Platforms

    • Your use of Third-Party Platforms (e.g., Tinder, Bumble, Hinge) is governed by their respective terms and conditions.
    • We are not affiliated with, endorsed by, or responsible for the actions or policies of these platforms.
    • Users are solely responsible for compliance with those terms.
    • We disclaim any liability arising from account suspension, bans, or policy enforcement by those platforms.

5. User Accounts & Responsibilities

  1. Account Creation You must create an account and provide accurate, current, and complete information.

  2. Virtual Machine Access Our system may store login tokens or session data for your Third-Party Platform accounts to operate within your virtual machine environment. You are responsible for securing your access credentials.

  3. Authorized Use Only You are solely responsible for all actions taken through your account or virtual environment, whether authorized or not. Sharing access credentials with others is strictly prohibited.

  4. Accuracy of Information You agree that all information you provide is truthful, accurate, and not misleading.

  5. Notification of Breach You agree to immediately notify us of any unauthorized use, security breach, or suspected misuse of your account.

6. Payment, Subscription & Cancellation

  1. Subscription Fees Fees are charged on a recurring monthly basis unless otherwise specified.

  2. Trial Periods We may offer a one- or two-week trial period with a satisfaction guarantee.

  3. Payment Processing Payments are securely processed through Stripe or other approved processors. You authorize recurring payments until you cancel.

  4. Automatic Renewal Disclosure Subscriptions automatically renew each billing cycle unless canceled before renewal.

  5. Chargebacks You agree not to initiate chargebacks or payment disputes without contacting support first. Unauthorized chargebacks constitute a material breach of this Agreement.

  6. Cancellation You may cancel anytime. Your subscription remains active until the end of the current billing cycle.

  7. Late Payments & Nonpayment If a payment fails, we may suspend or terminate your access.

  8. No Refunds Except where required by law, all payments are nonrefundable.

7. Acceptable Use & Prohibited Conduct

You agree to use the Services only for lawful purposes and not to:

  • Violate any applicable law or regulation.
  • Harass, threaten, defraud, or harm others.
  • Impersonate another individual or misrepresent your identity.
  • Upload or transmit malware, viruses, or harmful code.
  • Infringe upon third-party intellectual property rights.
  • Use automated scripts, bots, or third-party tools to control the Services, except those expressly provided by us.
  • Engage in any activity that could harm the reputation, operation, or security of the Services.

8. Intellectual Property & License

  1. Ownership All content, code, features, and functionality of the Services are the property of Lunovo LLC d/b/a Lovebird and are protected by intellectual property laws.

  2. Limited License We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

  3. Restrictions You may not copy, modify, reverse-engineer, distribute, or sublicense any part of the Services.

  4. User Content You retain ownership of your content but grant us a worldwide, royalty-free, non-exclusive license to store, process, and use such content solely to operate and improve the Services.

  5. Termination of License This license terminates immediately upon any breach of this Agreement.

9. DMCA / Intellectual Property Complaints

If you believe that content hosted on our Services infringes your intellectual property rights, send a notice under the Digital Millennium Copyright Act (DMCA) to:

Your notice must comply with 17 U.S.C. §512(c)(3).

10. Disclaimers & No Warranty

  • The Services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express or implied.
  • We do not guarantee dating outcomes, compatibility, or continued operation of Third-Party Platforms.
  • We do not warrant uninterrupted or error-free operation and disclaim responsibility for outages, account bans, or platform policy changes.

11. Limitation of Liability

To the fullest extent permitted by law:

  • The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages.
  • Our total aggregate liability shall not exceed the total amount you paid in the three months preceding the claim.
  • This limitation applies even if we were advised of the possibility of such damages.
  • Some jurisdictions may not allow certain limitations; in such cases, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lunovo LLC d/b/a Lovebird, its affiliates, officers, agents, and employees from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • Your breach of these Terms,
  • Your misuse of the Services,
  • Your violation of any law or third-party right,
  • Your interactions or communications facilitated through the Services.

This obligation survives termination of your account.

13. Dispute Resolution & Arbitration

  1. Binding Arbitration Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

    The arbitration shall be conducted before a single arbitrator in Teton County, Wyoming. Judgment on the award may be entered in any court having jurisdiction.

  2. Waiver of Class Actions and Jury Trials You waive the right to participate in any class or representative action and waive any right to a jury trial.

  3. Governing Law This Agreement and any disputes shall be governed by the laws of the State of Wyoming, without regard to conflict of law principles.

14. Termination & Suspension

  • You may terminate your account at any time.
  • We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without notice.
  • Termination does not entitle you to a refund of any fees paid.
  • Sections 8–13, and any others that by their nature should survive termination, shall remain in effect.

15. Modifications to Services & Terms

We may update or modify the Services and these Terms at any time. Material changes will be posted on our website with a new effective date. Your continued use of the Services after any modification constitutes acceptance of the updated Terms.

16. Electronic Communications Consent

You consent to receive communications from us electronically (via email or notices posted on our website). These electronic communications satisfy any legal requirement that such communications be in writing.

17. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Lunovo LLC d/b/a Lovebird regarding your use of the Services and supersede all prior agreements or understandings.

19. Acknowledgment

By using our Services, you acknowledge that you have read, understood, and agree to this Agreement.
